Welcome to Siputra Digital. These Terms of Service ("Terms") govern the use of services provided by Siputra Digital ("we", "our", or "us") to clients ("Client", "you", or "your").
By using our services, making payments, or engaging in a project with Siputra Digital, you agree to comply with and be bound by these Terms.
1. Scope of Services
Siputra Digital provides digital services including, but not limited to:
- Website Development
- Landing Page Development
- Company Profile Websites
- E-Commerce Websites
- Website Maintenance
- UI/UX Design
- Website Optimization
- WhatsApp Integration
- Other related digital services
The scope of work will follow the agreed quotation, proposal, or written agreement between both parties.
2. Project Requirements
Clients are responsible for providing all necessary project materials, including but not limited to:
- Logo and branding assets
- Text content
- Images and videos
- Product information
- Access credentials (if needed)
Delays in providing materials may affect the project timeline.
Siputra Digital reserves the right to pause or delay work until all required materials are received.
3. Payment Terms
The payment process is divided into two stages: down payment and final payment.
Projects will only begin after the required down payment has been successfully received.
3.1 Down Payment (DP)
After selecting the appropriate service package, the Client is required to make an initial down payment of 50% of the total project cost.
The down payment serves as:
- Project booking confirmation
- Initial commitment to begin the design and development process
Siputra Digital reserves the right to reject or delay project scheduling if the required payment has not been completed.
3.2 Final Payment
The remaining 50% balance must be paid after:
- The website development process has been completed;
- Revisions have been finalized;
- The Client has confirmed satisfaction with the final result.
Once the full payment has been completed, Siputra Digital will proceed with the final handover, including:
- Website access credentials
- Administrative ownership access
- Relevant project files or assets (if included in the agreement)
The project will be considered completed upon successful handover of all agreed deliverables.
Siputra Digital reserves the right to withhold website publication, transfer of ownership, or delivery of access credentials until full payment has been received.
4. Revisions
Revisions are limited to the number agreed upon in the selected package or proposal.
Revisions may include:
- Text adjustments
- Minor layout changes
- Color or visual adjustments
Revisions do not include:
- Full redesigns
- Major feature additions
- Changes outside the original project scope
Additional work outside the agreed scope may result in additional charges.
5. Project Timeline
Estimated timelines are provided based on project complexity and available information at the time of agreement.
Project delays may occur due to:
- Late submission of materials by the Client
- Additional requests outside the original scope
- Third-party technical issues
- Force majeure circumstances
Siputra Digital is not responsible for delays caused by external factors beyond our control.
6. Client Content Responsibility
The Client is fully and solely responsible for all content published, uploaded, displayed, or distributed through their website.
This includes, but is not limited to:
- Text
- Images
- Videos
- Products
- Articles
- Downloads
- External links
- User-generated content
The Client represents and warrants that all provided content:
- Does not violate any applicable laws or regulations
- Does not infringe copyrights, trademarks, or intellectual property rights
- Does not contain illegal, fraudulent, harmful, defamatory, or prohibited material
Siputra Digital does not review, monitor, verify, or assume legal responsibility for any content provided by the Client.
Any legal claims, copyright disputes, damages, penalties, or liabilities arising from website content are entirely the responsibility of the Client.
7. Prohibited Use
Clients may not use websites developed by Siputra Digital for activities including but not limited to:
- Illegal activities
- Fraud or scams
- Phishing
- Malware distribution
- Copyright infringement
- Adult or prohibited content
- Gambling or unlawful services
- Activities violating Indonesian law or international regulations
Siputra Digital reserves the right to suspend or terminate services if prohibited activities are discovered.
8. Third-Party Services
Certain features or services may rely on third-party providers, including:
- Hosting providers
- Domain registrars
- Payment gateways
- APIs
- External plugins or software
Siputra Digital is not responsible for outages, failures, policy changes, or damages caused by third-party services.
9. Warranty & Support
Warranty and support periods depend on the selected package or agreement.
Warranty does not cover:
- Changes made by third parties
- Client-caused errors
- Hosting/server issues
- Plugin conflicts from unauthorized modifications
- Security breaches caused by weak passwords or external attacks
Ongoing maintenance services may require separate agreements or fees.
10. Limitation of Liability
Siputra Digital shall not be liable for:
- Business losses
- Loss of revenue or profits
- Data loss
- Security breaches caused by third parties
- Downtime from hosting providers
- SEO ranking fluctuations
- Indirect or consequential damages
Our maximum liability shall not exceed the total amount paid by the Client for the specific service.
11. Intellectual Property
Unless otherwise agreed:
- The Client owns the final website content provided by them
- Siputra Digital retains the right to showcase completed projects in portfolios or promotional materials
Source files, custom systems, or proprietary assets may remain the property of Siputra Digital unless explicitly transferred in writing.
12. Changes to Terms
Siputra Digital reserves the right to update or modify these Terms at any time without prior notice.
